CCI Approves Coromandel International’s ₹820 Crore Acquisition of 53% Stake in NACL Industries

Published:

In a significant development for India’s agrochemical and fertilizer sector, the Competition Commission of India (CCI) has officially approved the acquisition of a majority stake in NACL Industries Ltd by Coromandel International Ltd. The ₹820 crore deal, first announced in March this year, involves Coromandel acquiring a 53% equity stake in NACL, marking a major consolidation move within the agrochemical industry.

Coromandel International, a leading agri-solutions provider and part of the Murugappa Group, is aiming to bolster its position in the agrochemical segment through this strategic acquisition. The company stated that the acquisition aligns with its long-term strategy of strengthening backward integration in active ingredients and expanding its domestic and global crop protection portfolio.

The CCI clearance now paves the way for the transaction to move forward, subject to other regulatory and statutory approvals, including that of the National Company Law Tribunal (NCLT) and shareholders.

Strategic Importance of the Deal

NACL Industries, formerly known as Nagarjuna Agrichem Ltd, is engaged in manufacturing and marketing crop protection products including technicals, formulations, and intermediates. With manufacturing units in Srikakulam and Ethakota (Andhra Pradesh), NACL has a strong presence in both domestic and export markets.

By acquiring a controlling stake in NACL, Coromandel is expected to gain access to:

  • A strong portfolio of crop protection products

  • Robust R&D and manufacturing capabilities

  • Established export relationships in more than 30 countries

  • An experienced team in the agrochemical sector

This acquisition also opens avenues for synergies in procurement, R&D, and global marketing channels, thereby enhancing operational efficiencies and cost competitiveness.

Market Dynamics

The Indian agrochemical sector is currently witnessing increased consolidation, driven by the need for technological advancement, access to global markets, and economies of scale. Coromandel’s move comes at a time when the industry is shifting towards integrated agri-input solutions, and the demand for quality crop protection products is on the rise due to changing climate and pest patterns.

Commenting on the acquisition earlier, Coromandel International’s Executive Vice Chairman Arun Alagappan had said, “This investment is a step forward in our journey to strengthen our crop protection portfolio and enhance value creation for our stakeholders.”

Next Steps

With CCI’s nod, the companies will now proceed with regulatory formalities and execution of share purchase agreements. The acquisition is expected to be completed in the coming quarters, post necessary approvals and compliance processes.

Market analysts view the deal as a positive development for Coromandel, potentially increasing its market share in the agrochemical segment and improving its earnings through vertical integration.

The CCI’s green signal marks a key milestone in Coromandel’s strategic growth roadmap. As the company expands its footprint in the agrochemical space, the acquisition of NACL Industries is set to create one of India’s most integrated and competitive players in the agri-inputs sector.
